Terms of service
The terms for using Zenday’s website and service.
Last updated October 26, 2026
1. Agreeing to these terms
These terms are an agreement between you and Zenday AI Inc. (“Zenday”, “we” or “us”). They cover our website at zenday.com and our software and its agents (the “Service”).
The website and the Service are for businesses and professionals, not for personal or household use. If you use the Service for a company or an accounting firm, you accept these terms for that organization and confirm you have the authority to do so. “You” then means that organization.
If your organization has signed an order form or a customer agreement with us, it applies alongside these terms and takes priority where they differ.
If you don’t agree to these terms, don’t use the website or the Service.
2. Our website
You may use our website for your own information. Its content is general information, not professional advice. We may change it at any time.
The companies and figures in our examples are samples, for illustration. They aren’t customers or customer results.
3. Your account and authorized users
You need an account to use the Service. Keep the information in it accurate and up to date.
You can give people access to the Service on your behalf, such as employees, contractors, your accounting firm or your auditors (“authorized users”). You’re responsible for what they do in the Service and for making sure they follow these terms.
Keep sign-in details confidential and use multi-factor authentication where it’s available. If you think someone has unauthorized access, tell us right away through our website, www.zenday.com.
If you’re an accounting firm, you must have each client’s permission before you connect that client’s systems and data to the Service.
4. Your data
You own your data. “Customer Data” means the records you or your authorized users connect to or put into the Service, such as ledger entries, transactions, invoices, bills, payroll records and supporting documents.
Customer Data also includes what the Service prepares from those records: entries, schedules, reconciliations, workpapers, commentary and reports (the “Output”). As between you and us, you own the Output too.
You give us permission to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service for you. That includes sending it to the AI models that prepare and check your entries, whose providers may not train their models on it.
Models learn from de-identified outcomes under your agreement. You allow us to use outcomes such as whether a proposed entry was approved or changed to improve the Service, once they can no longer reasonably identify you or any person.
One company’s records never appear in another company’s answers. A shared pattern, like how a vendor is usually coded, is used only once twenty or more companies agree.
You’re responsible for having the rights to connect Customer Data and to let us process it, including any notices or consents owed to the people it describes. Our privacy policy and data processing agreement describe how we handle personal information in Customer Data.
5. Using the Service
We give you a non-exclusive, non-transferable right to use the Service for your internal business purposes while your subscription lasts, subject to these terms and your order form. For an accounting firm, internal business purposes include providing services to its clients.
Acceptable use
You agree not to:
- Use the Service in breach of any law, or to process data you have no right to use.
- Sell, resell or sublicense access to the Service.
- Use the Service to build a competing product or to copy its features.
- Reverse engineer, decompile or try to extract the source code or models behind the Service, except where the law allows it.
- Probe, scan or test the Service’s security without our written permission. We welcome responsible reports of vulnerabilities through our website, www.zenday.com.
- Interfere with the Service or its infrastructure, or get around its limits or access controls.
- Upload malware, or content that’s unlawful or that you have no right to share.
- Share sign-in details, or let anyone who isn’t an authorized user into the Service.
We may suspend access if your use breaks these rules or puts the Service, our customers or us at risk. We’ll tell you why and restore access once the problem is fixed.
6. AI output and your professional responsibility
The Service uses AI to prepare accounting work, such as reconciliations, schedules, accruals, journal entries, flux commentary, forecasts and reports. A second model from a different AI provider recomputes each entry, and entries above your thresholds wait for a person.
These checks reduce errors; they don’t remove them. AI output can be incomplete or wrong, and it depends on the data and policies you provide.
You set the thresholds that decide what posts without a person’s approval. Entries that post under your thresholds are entries you have authorized.
You remain responsible for reviewing and approving entries, for your books and records and for your financial statements. Review the Output as part of your close and sign-off.
Zenday is software, not an accounting firm. We don’t provide accounting, audit, tax or legal advice.
Nothing in the Service is an audit or a review of your financial statements, and using it doesn’t make us your accountant or adviser.
If you’re an accounting firm, you remain responsible for the services you provide to your clients and for meeting your professional standards.
Forecasts, budgets and dashboards are estimates built on your data and assumptions. They aren’t guarantees of future results.
7. The free review
We may offer a free review in which the agents re-perform up to 12 months of your past reconciliations, schedules and accruals and propose adjustments with support.
Nothing posts to your books during the review, and a proposed adjustment changes your books only if you approve it. The review is free and doesn’t commit you to a subscription.
The review is analysis by software. It isn’t an audit or a review engagement, and it gives no assurance on your financial statements.
We decide the scope of each review and may change or end the offer at any time. If you don’t go on to subscribe, we delete the review’s Customer Data within 30 days of the review ending.
These terms apply to the review. It comes with no service commitments, and our total liability for it is limited to $100.
Beta and preview features
We may offer features marked beta or preview. They’re optional, may change or be withdrawn and come with no service commitments.
8. Fees and payment
Your order form is the document, signed or accepted online, that sets out your subscription. It sets your fees, billing frequency, payment terms and subscription term. It also says how any government charges on the fees are handled.
Unless your order form says otherwise, fees are invoiced in advance in US dollars, are due within 30 days of the invoice date and aren’t refundable.
Subscriptions renew for the same term unless either party gives notice before the renewal date, as your order form sets out. We may change prices for a renewal term by telling you at least 30 days before it starts.
If an undisputed invoice is more than 30 days overdue, we may suspend the Service after giving you at least 10 days’ notice.
9. Confidentiality
“Confidential information” is non-public information one party shares with the other that is marked confidential or that a reasonable person would treat as confidential. Your Customer Data is your confidential information, and our non-public product, pricing and security information is ours.
Each party will use the other’s confidential information only to perform under these terms, protect it with at least reasonable care and share it only with people who need it and are bound to keep it confidential.
These duties don’t cover information that is or becomes public through no fault of the receiving party, or that it already knew, developed on its own or received lawfully from someone else.
A party may disclose confidential information when the law requires it, after giving the other party notice where the law allows.
10. Intellectual property
We own the Service and all improvements to it, including its software, agents, models, designs and documentation. These terms don’t transfer any of it to you.
You own your Customer Data and the Output, as “Your data” sets out.
We won’t name you as a customer or use your logo without your written permission.
11. Feedback
If you send us ideas or suggestions about the Service, we may use them without restriction or payment to you. Feedback never includes your Customer Data.
12. Third-party services
The Service connects to products we don’t control, such as your ledger, your banks and your billing, spend and payroll tools. You choose which to connect, and your use of each is governed by your agreement with its provider.
When you connect one, you authorize us to read data from it and, where you allow it, to write entries to it for you.
We aren’t responsible for third-party products or their availability, accuracy or changes, including a change that stops a connection working. If a provider changes or withdraws its integration, we’ll make reasonable efforts to keep the connection working but can’t promise to.
13. Warranties and disclaimers
We’ll provide the Service with reasonable skill and care, and it will work substantially as our documentation describes. If it doesn’t, tell us and we’ll work to fix it.
If we can’t fix it, either party may end the affected subscription and we’ll refund prepaid fees for the rest of its term.
Apart from that, and to the extent the law allows, the website and the Service are provided “as is” and “as available”. We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
We don’t promise that the Service will be uninterrupted or error-free, or that AI output will be accurate or complete.
14. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages. Neither is liable for lost profits, revenue or data, even if it was told they were possible.
Each party’s total liability under these terms is limited to the fees you paid or owe for the Service in the 12 months before the event that gave rise to the claim.
These limits don’t apply to your obligation to pay fees, to either party’s indemnities or to liability the law doesn’t allow to be limited.
15. Indemnities
If a third party claims the Service infringes its intellectual property rights, we’ll defend you and pay any damages a court awards or that we agree to in a settlement. This doesn’t cover claims caused by your Customer Data, your changes to the Service or your combining it with things we didn’t provide.
If a third party makes a claim against us arising from your Customer Data or from your use of the Service in breach of these terms, you’ll defend us and pay any damages a court awards or that you agree to in a settlement.
The party asking for a defense must tell the other promptly, let it control the defense and cooperate reasonably.
16. Term and termination
These terms apply from when you first use the website or the Service until all your subscriptions have ended.
Either party may end a subscription if the other materially breaches these terms and doesn’t fix the breach within 30 days of being told about it. We may also suspend or end access immediately if the law requires it or if it’s needed to prevent serious harm to the Service or other customers.
Entries already posted to your ledger stay there. When a subscription ends, you have 30 days to export your Customer Data, including the workpapers and the audit trail.
After that we delete Customer Data, except copies the law requires us to keep and copies in backups, which are deleted as the backups expire.
Sections that by their nature should survive, such as fees owed, confidentiality, intellectual property, disclaimers, limits of liability, indemnities and governing law, survive the end of these terms.
17. Governing law and disputes
These terms are governed by the laws of Delaware, without regard to its conflict-of-laws rules.
Before going to court, we’ll each try in good faith to settle a dispute by negotiation for at least 30 days. A dispute that isn’t settled will be heard only in the state or federal courts located in Delaware, and each party agrees to their jurisdiction.
Either party may still ask a court for urgent relief to protect its intellectual property or confidential information.
18. Changes to these terms
We may update these terms, and the date at the top shows when they last changed. If a change is material, we’ll tell you by email or in the Service at least 30 days before it takes effect.
If you don’t agree to a change, you can end your subscription before it takes effect and we’ll refund any prepaid fees for the rest of the term. If you keep using the Service after a change takes effect, the updated terms apply.
A signed order form or customer agreement can be changed only in writing signed by both parties.
19. General
- Assignment: neither party may transfer these terms without the other’s consent, except to a successor in a merger, acquisition or sale of substantially all of its assets.
- Notices: we’ll send notices to the email address on your account. Send yours through our website, www.zenday.com.
- Entire agreement: these terms, your order form, our data processing agreement and the documents they refer to are the whole agreement between us on their subject.
- Severability and waiver: if a court finds part of these terms unenforceable, the rest still applies. Not enforcing a right now doesn’t waive it.
- Events beyond control: neither party is liable for delays caused by events beyond its reasonable control, except delays in paying fees.
- Export and sanctions: you won’t use the Service in breach of US export controls or sanctions.
- Independent parties: we’re independent contractors, and these terms give no rights to anyone else.
